required in connection with the transfer of the Property (including the Real Estate Excise Tax Affidavit and Sales/Use Tax Return referenced in Section 184.108.40.206 above);
220.127.116.11 Such evidence as may be reasonably required by the Title Company with respect to the authority of the
person(s) executing the documents required to be executed by Purchaser on behalf of Purchaser;
A certificate signed by Purchaser stating that each of Purchasers representations and warranties contained in Section 5.2 of this Agreement is true and correct in all material respects, provided, however, that if any of
the representations and warranties have changed since the Effective Date, then Purchaser shall revise the representations and warranties to conform to the changed circumstances and shall set forth such changed representations and warranties in such

requested by the Title Company.
8.3.2 Payment of Consideration. Purchaser shall pay to Escrow Agent a sum equal to the
remaining portion of the Purchase Price owed by Purchaser in accordance with Section 2.1.3 of this Agreement. As part of the Closing under this Agreement, in accordance with this Agreement, Escrow Agent shall disburse, via federal funds wire
transfer of immediately available funds, to an account designated by Seller in a written notice to Escrow Agent delivered prior to the Closing Date, with such notice to contain all information necessary for Escrow Agent to effectuate such transfer,
the amount due to Seller as shown on the Settlement Statement.
8.3.3 Costs. Purchaser will pay all costs allocated to
Purchaser pursuant to Section 8.5.1 of this Agreement.
8.4 Escrow. The delivery of the documents and the payment
of the sums to be delivered and paid at the Closing shall be accomplished through an escrow with Escrow Agent and in accordance with this Agreement.
8.5 Costs and Adjustments at Closing. Seller shall prepare and submit to Purchaser for Purchasers review, at least five (5) Business Days prior to the Closing Date, a proration statement
setting forth the estimated prorations and adjustments contemplated by this Agreement. Once Seller and Purchaser have agreed on such proration statement and the estimates included therein, and at least three (3) Business Days prior to the
Closing Date, Seller and Purchaser shall submit the same to the Escrow Agent and the Escrow Agent shall prepare the Settlement Statement and submit the same to Seller and Purchaser for their approval at least two (2) Business Days prior to the
