Oshkosh Corporation Announces Pricing of $250 Million of Senior Notes

OSHKOSH, Wis.--(BUSINESS WIRE)--Feb. 6, 2014-- Oshkosh Corporation (NYSE: OSK) today announced that it priced $250 million aggregate principal amount of senior notes due 2022 in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933 and in offshore transactions pursuant to Regulation S under the Securities Act of 1933. The senior notes due 2022 were priced at par with an interest rate of 5.375%. The Company expects the offering to close on February 21, 2014.

The Company expects to receive approximately $245.8 million in net proceeds from the sale of the notes, after deducting the initial purchasers’ discounts and commissions and estimated expenses of the offering payable by the Company. The Company intends to use the net proceeds from the sale of the notes, together with available cash, to redeem all of the Company’s outstanding $250 million aggregate principal amount of 8¼% senior notes due 2017, in respect of which the Company has provided notice to all of the holders of the 2017 notes of the Company’s election to redeem such 2017 notes on March 10, 2014.
