All directors and senior officers designated as insiders by the Board of Directors may buy or sell stock or other URS securities (i) only during a trading window and (ii) only with the pre-approval of URS' Chief Financial Officer or General Counsel. Trading windows are opened after the public announcement of URS' financial results for the previous fiscal quarter or fiscal year.
