Vice President, Internal Audit
Donal Antill is Vice President, Internal Audit for Baker Hughes Incorporated. Antill previously served as Vice President, FP&A, for the North America, Canada and Gulf of Mexico regions and has held positions of increasing scope and responsibility in his 26 years with Baker Hughes.
Antill began his career with Arthur Andersen & Co. in the late 1980s and joined Baker Hughes in January 1990 in the internal audit department. He moved out into operational finance where he has spent the remainder of his career. A significant amount of that time has been outside of the United States, where he has held lead finance positions in Nigeria, Venezuela and Canada. Antill also was one of the team members responsible for implementing SAP and shared services for Baker Hughes.
Antill holds a Bachelor of Science degree from the University of Houston - Downtown and is a Certified Public Account in the state of Texas.

|Alan Keifer is Vice President, Controller and Chief Accounting Officer of Baker Hughes Incorporated. He has been in this role since 1999. Previously, Keifer was Western Hemisphere Controller of Baker Oil Tools from 1997 to 1999 and Director of Corporate Audit for the company from 1990 to 1996. Prior to joining Baker Hughes in 1990, Keifer worked at Ernst & Young. He earned a Bachelor of Arts degree from the University of Iowa and is a certified public accountant.|

|William D. Marsh is Vice President and General Counsel of Baker Hughes Incorporated. Before this appointment, he was Vice President-Legal, Western Hemisphere and Director of Enterprise Risk Strategies. Marsh joined Baker Hughes in 1998 and has served in various executive, legal, and corporate roles. During his professional career, Marsh was a partner with the law firm of Ballard Spahr LLP representing clients in the areas of corporate, finance, and securities laws. He earned a Juris Doctorate degree and a Bachelor of Science degree in accounting from Brigham Young University. Marsh also serves on the Board of Directors of People’s Utah Bancorp.|

|Jay Martin is Vice President, Chief Compliance Officer and Senior Deputy Counsel of Baker Hughes Incorporated. He has held this position since 2004. Prior to joining Baker Hughes, Martin was a shareholder at Winstead Sechrest & Minick P.C., partner at Phelps Dunbar and Andrews & Kurth, and served as Assistant General Counsel of Mobil Oil Corporation’s worldwide exploration and production division. Martin has also served as General Counsel of Mobil Natural Gas, Inc. He earned Juris Doctorate, Bachelor of Business Administration, and Master of Public Administration degrees from Southern Methodist University.|

|Michael W. Sumruld is Vice President and Treasurer of Baker Hughes Incorporated. Sumruld joined Baker Hughes in 1998 and was most recently Vice President Financial Planning and Analysis (FP&A), Eastern Hemisphere. Sumruld previously served as Baker Hughes Director of Investor Relations and as Vice President FP&A, Western Hemisphere. He earned a Bachelor of Arts degree in business from the University of Houston and a Master of Business Administration degree from Texas A&M University.|

|Lee Whitley is Vice President and Corporate Secretary of Baker Hughes Incorporated. Prior to joining Baker Hughes, Whitley served as Senior Corporate Counsel at BJ Services Company from 2007 to 2010 and as an associate at two law firms from 2002 to 2007, where she practiced law in the areas of corporate securities and mergers and acquisitions. Whitley earned a Juris Doctorate degree and a Master of Business Administration degree, both from the University of Houston, and a Bachelor of Arts degree in business management from the University of Utah. She is a member of the Houston Bar Association, the Association of Corporate Counsel, the National Association of Stock Plan Professionals, and the Society of Corporate Secretaries and Governance Professionals.|
