William I. Jacobs

Chairman

William I. Jacobs has served as our Chairperson of the Board since June 2016 and our interim Chief Executive Officer from January 2020 through March 2020. Mr. Jacobs has served on the boards of directors of Global Payments, Inc., a payment processing services company, since 2001 and of Repay Holdings Corporation, a publicly traded financial technology company, since July 2019. He served as the Chairman of the board of directors of Global Payments, Inc. from June 2014 until September 2019. He also served as Lead Independent Director of that company from 2003 to May 2014 and as one of its business advisors from August until September 2019. Prior to joining Global Payments, Mr. Jacobs served as Managing Director and Chief Financial Officer of The New Power Company. From 1995 to 2000, Mr. Jacobs served in various senior roles at MasterCard International. Prior to MasterCard, Mr. Jacobs served as Executive Vice President, Chief Operating Officer of Financial Security Assurance, Inc., from 1984 to 1994. Mr. Jacobs previously served on the board of directors of Asset Acceptance Capital Corp., Investment Technology Group, Inc., and Alpharma, Inc. He holds a B.S. degree in business administration from The American University and a J.D. from The Washington College of Law of The American University.

Ellen Richey

Director

Ellen has served on our Board of Directors since April 2020. Ms. Richey brings over 40 years of legal and risk management experience, most recently serving as Visa’s vice chairman and chief risk officer and as a member of Visa’s executive committee. In those roles, Ms. Richey was responsible for driving the future of payment security at the company, serving as its voice with legislators, regulators and clients on payment security, and leading similar initiatives combining risk, business and policy issues of strategic importance to Visa. Before assuming the roles of vice chairman and chief risk officer at Visa, Richey served as the vice chairman of risk and public policy where she was responsible for public policy and all aspects of risk management. Prior to that role, Richey concurrently served as chief legal officer and chief risk officer. In those positions, she was responsible for the legal function as well as oversight of Visa’s compliance, audit and risk teams, including payment system risk, settlement risk and enterprise risk. Prior to joining Visa, she worked at Washington Mutual Inc. as senior vice president of enterprise risk management and executive vice president of card services, and served as vice chairman of Providian Financial Corporation, where she had responsibility for the enterprise risk management, legal, corporate governance, corporate relations, compliance and audit functions. Ms. Richey has also served on the board of directors of Cantaloupe, Inc. (formerly USA Technologies, Inc.) since May 2020. Since April 2018, she has served as the board chair of Girl Scouts of Northern California. Ms. Richey holds a B.A. in linguistics and far eastern languages from Harvard University and a J.D. from Stanford Law School.

George W. Gresham

Director

George has served as CFO and COO and on the company’s board of directors since October 2021. He is a veteran finance and payments executive, having previously served on the boards of both Green Dot Corporation and Green Dot Bank from 2016 to 2019, and as CFO at NetSpend Holdings from 2010 to 2013.

Prior to these executive roles, George served as CFO and EVP at Global Cash Access (GCA Holdings, Inc.), a multinational, publicly traded payments company specializing in merchant payment processing solutions in the gaming industry, from 2008 to 2010. Before Netspend, he served as CFO and chief administrative officer at EFD (eFunds Corporation, which ultimately sold to FIS) from 2002 through 2007. He also served on the board of EML Payments, a multi-national provider of GPR, gift, payroll and other payment solutions, from April 2020 to August 2021.

George is the founder and CEO of Granite Reef Advisors, a professional advisory firm focused on providing third-party assistance in acquisition target evaluation and execution, which he has operated since 2013. He is also the co-founder and chairman of Dama Technologies, Inc., a financial technology firm which provides transparent, sustainable banking and payment solutions for under-banked businesses.

George holds a B.S. in Accountancy from Northern Arizona University and an MBA from the Thunderbird School of Global Management.

George T. Shaheen

Lead Independent Director/Presiding Director

George T. Shaheen has served on our Board of Directors since September 2013, and as our Lead Independent Director from January 2020 to April 2020. Prior to that, Mr. Shaheen was the Chief Executive Officer and Global Managing Partner of Andersen Consulting, which later became Accenture, from 1988-1999 to April 2001, he served as the Chief Executive Officer and Chairman of the Board of Webvan Group, Inc. Mr. Shaheen was the Chief Executive Officer of Siebel Systems, Inc., a CRM software company, from April 2005 until the sale of the company in January 2006. From December 2006 until July 2009 he was the Chief Executive Officer and Chairman of the board of directors of Entity Labs, a privately held technology company in the data collection, storage and analytics space. He serves on the boards of Marcus & Millichap, a commercial real estate brokerage company; [24]7.ai, a privately held venture backed customer service technology company; NetApp, an enterprise technology company that provides data storage systems; and Korn/Ferry International, an international executive search and consulting firm. Mr. Shaheen received a B.S. degree in business and M.B.A. degree from Bradley University.

J. Chris Brewster

Director

J. Chris Brewster served as our interim President from January 2020 through March 2020 and has served on our Board of Directors since April 2016. Prior to that, he served as Chief Financial Officer of Cardtronics, Inc., a provider of automated consumer financial services through ATMs and other devices, from 2004 until February 2016. Prior to joining Cardtronics, Mr. Brewster served as Executive Vice President and Chief Financial Officer of Imperial Sugar Company. Earlier in his career, Mr. Brewster served as a partner of Bellmeade Capital Partners, LLC; Chief Financial Officer of Sanifill, Inc.; and Chief Financial Officer of National Convenience Stores, Inc. He currently serves as Chairman of the Audit Committee of the board of directors of R3, LLC, Chairman of the Audit Committee of the board of directors of HungerRush, LLC and director for the Houston Area Parkinson Society. Mr. Brewster holds a B.S. degree in industrial management from the Massachusetts Institute of Technology and an M.B.A. degree from Harvard Business School.

Saturnino Fanlo

Director

Saturnino S Fanlo is currently retired and has served on our Board of Directors since May 2016. Mr. Fanlo previously served as Chief Financial Officer of Human Longevity, Inc. from June 2017 to June 2018. He previously served as President and Chief Financial Officer of Social Finance, Inc. (a/k/a SoFi), a marketplace lender and financial services company from June 2012 until May 2017. He also previously served as Chief Operating Officer of SoFi from December 2013 to August 2015 and as a member of its board of directors from June 2012 to September 2015. Prior to SoFi, Mr. Fanlo served as Senior Advisor at Golden Gate Capital, a private equity firm, from April 2009 to February 2011. Previously, Mr. Fanlo served as Chief Executive Officer and a director of KKR Financial Holdings LLC (formerly NYSE:KFN), a subsidiary of KKR & Co. L.P. (NYSE:KKR), from 2004 to 2008. Mr. Fanlo also previously served as Executive Vice President and Treasurer of Wells Fargo & Company (NYSE:WFC) (“Wells Fargo”), from July 2000 to June 2004. As Executive Vice-President of Wells Fargo, Mr. Fanlo founded the Principal Investments group. Mr. Fanlo was also founder and, from August 2001 to June 2004, President of Sutter Advisors LLC, a registered investment advisor formed in 2001 and a wholly-owned subsidiary of Wells Fargo. Mr. Fanlo joined Wells Fargo in 1995, serving in various positions, including as Executive Vice President, Senior Vice President, and Vice President. Prior to Wells Fargo, he served as Vice President at Goldman Sachs Group, Inc. (NYSE:GS), from 1990 to 1995, where he was responsible for the Commercial Mortgage Backed Securities desk. Mr. Fanlo has also had prior investment banking and asset management roles at Credit Suisse Group AG (NYSE:CS), Metropolitan Life Insurance Company (NYSE:MET) and Australian Capital Equity Pty Ltd., where he focused on commercial real estate fixed income assets as well as capital raising and funding activities. In addition, Mr. Fanlo previously served as a director of Capmark Financial Group Inc. (formerly OTCMKTS:CPMK) from 2006 until 2009. Mr. Fanlo earned his B.A. in Economics from Haverford College.

Michelleta Razon

Director

Michelleta Razon was appointed to the Board of Directors on October 6, 2023 and is a member of our Risk Committee. Ms. Razon brings over 25 years of expertise driving technology and innovation in payments, finance, cloud transformation, business insights and analytics and AI/ML for enterprise organizations. Ms. Razon most recently served as Vice President and General Manager at Google from October 2021 to September 2023, where she led the global product, engineering, strategy and systems operations for the Google Cloud commerce and financial platforms.Prior to Google, Ms. Razon served as Executive Vice President and Senior Vice President at Mastercard from 2018 to 2021 leading the global product engineering and operations organizations for Commercial card & Business-to-Business solutions businesses, where she built products, platforms and solutions to power payments and drive financial inclusion. From 2006 to 2018, Ms. Razon served in several technology leadership roles at Teradata, including Vice President of Analytic Applications. Ms. Razon serves on the Executive Committee of America on Tech, a national nonprofit that supports technology education and training. Ms. Razon holds a B. S. in Mathematical Sciences and Computer Science from the University of North Carolina at Chapel Hill and a M. S. in Computer Science from Capitol College.

Robert Millard

Director

Mr. Millard is currently Chief Financial Officer at CHG Healthcare, the largest temporary physician staffing services firm in the U.S., where he plays a key role in the company’s strategic vision and execution and is responsible for all elements of financial management as well as CHG’s legal and risk functions. Prior to CHG, Millard served as CFO at Earnest, a consumer lending financial technology company, and as CFO for GE Capital Bank.
