During fiscal year 2009, we granted restricted securities and stock options to certain of our Named Executive Officers pursuant to the 2006 Option Plan and the 2006 Purchase Plan. Information with respect to each of these awards on a grant by grant basis is set forth in the table below. Also set forth below is information on the estimated annual incentive bonus payments to our Named Executive Officers under our short-term incentive program. (2)   Threshold amounts were determined based on 40% of 2009 annual base salary for each Named Executive Officer.
(3)   Target amounts were determined based on 2009 annual base salary for each Named Executive Officer.
(4)   There is no maximum payment amount under our short-term incentive program.
(5)   Represents restricted securities issued to the Named Executive Officers pursuant to the 2006 Purchase Plan.
(6)   Represents stock options issued to the Named Executive Officers pursuant to the 2006 Option Plan.
(7)   Represents the grant-date fair value calculated under ASC 718, and as presented in the audited consolidated financial statements included within this prospectus.
(8)   Represents the weighted-average grant date fair value for such options. These options are comprised of 116,667 Tranche 1 options with a grant date fair value of $7.11 per option and 233,333 Tranche 2 options with a grant date fair value of $6.56 per option.
