(1)   The increase in base salary from 2008 to 2009 reflects the fact that 2008 base salary increases became effective on February 1, 2008. As a result of the February 1, 2008 effective date, the base salary in 2009 is higher than 2008 because it reflects the higher base salary for a 12 month period in 2009 versus an 11 month period in 2008.
(2)   Represents the aggregate grant date fair value of restricted stock unit awards granted in December 31, 2009, 2008 and 2007.
