|Warren Resources, Inc. Announces Pricing of Initial Public Offering at $7.50 Per Share|

NEW YORK, Dec. 17 /PRNewswire-FirstCall/ -- Warren Resources, Inc. (Nasdaq: WRES) announced today that its initial public offering of 9.5 million shares of common stock was priced at $7.50 per share. The underwriters have a 30-day option to purchase up to an additional 1,425,000 shares from the Company. All stock sold in the offering will be issued by the Company. Completion of the offering is expected to occur on December 22, 2004, subject to the satisfaction of customary closing conditions.
KeyBanc Capital Markets is the sole book-running manager of the offering. Jefferies & Company, Inc. and Sanders Morris Harris, Inc. are co-managers.
