EnerSys Reports Third Quarter Fiscal 2013 Results

READING, Pa., Feb. 6, 2013 /PRNewswire/ -- EnerSys (NYSE: ENS) the global leader in stored energy solutions for industrial applications, announced today results for its third quarter of fiscal 2013, which ended on December 30, 2012. 

Net earnings attributable to EnerSys stockholders ("Net earnings") for the third quarter of fiscal 2013 were $39.2 million, or $0.80 per diluted share, including an unfavorable net of tax impact of $0.08 per share from a charge of $3.5 million for restructuring plans and $0.1 million for fees related to acquisition activities. The Net earnings of $0.80 per diluted share, compares to diluted Net earnings per share of $0.77 for the third quarter of fiscal 2012, which included an unfavorable net of tax impact of $0.03 per share from a charge of $1.1 million for restructuring plans and $0.7 million for fees related to acquisition activities.

Excluding these highlighted items, adjusted Net earnings per diluted share for the third quarter of fiscal 2013, on a non-GAAP basis was $0.88, which exceeds the guidance of $0.77 to $0.81 per diluted share given by the Company on November 5, 2012. These earnings compare to the prior year third quarter adjusted Net earnings of $0.80 per diluted share. Please refer to the section included herein under the heading "Reconciliation of Non-GAAP Financial Measures" for a discussion of the Company's use of non-GAAP adjusted financial information.

Net sales for the third quarter of fiscal 2013 were $557.3 million, a decrease of 3% from the prior year third quarter net sales of $574.2 million. The 3% decrease was the result of a 2% decrease in organic volume and a 1% decrease in both pricing and foreign currency translation impact partially offset by a 1% increase from acquisitions. Sequential quarterly sales increased 1% from the second quarter of fiscal 2013 net sales of $554.2 million due to a 1% increase from foreign currency translation impact.

Net earnings for the nine months of fiscal 2013 were $128.8 million or $2.65 per diluted share, including an unfavorable net of tax impact of $0.10 per share from a charge of $4.8 million for restructuring plans and $0.2 million for fees related to acquisition activities.

Net earnings for the nine months of fiscal 2012 were $98.6 million or $1.99 per diluted share, and included an unfavorable net of tax impact of $0.07 per share from a charge of $2.1 million for restructuring plans and $1.6 million for fees related to acquisition activities partially offset by a $0.6 million legal settlement in favor of the Company. 

Adjusted Net earnings for the nine months of fiscal 2013, on a non-GAAP basis, were $2.75 per diluted share. This compares to the prior year nine months adjusted Net earnings of $2.06 per diluted share. Please refer to the section included herein under the heading "Reconciliation of Non-GAAP Financial Measures" for a discussion of the Company's use of non-GAAP adjusted financial information.

Net sales for the nine months of fiscal 2013 were $1,705.4 million, an increase of 1% from the net sales of $1,690.6 million in the comparable period in fiscal 2012. The 1% increase was the result of a 2% increase in organic volume and a 3% increase from acquisitions partially offset by a 4% decrease from foreign currency translation impact.

"During our third quarter we achieved record third quarter operating earnings and increased our gross profit percentage to 25.8%," stated John D. Craig, chairman, president and chief executive officer of EnerSys. "I am pleased with our adjusted Net earnings of $0.88 per diluted share in the quarter. Our fourth quarter guidance for adjusted Net earnings per diluted share is between $0.73 to $0.77, which excludes the expected charge of $0.06 from our restructuring programs and acquisition expenses. In our fourth quarter higher sequential commodity costs will pressure our gross profit margins. In order to offset these higher costs we recently announced price increases which should allow us to recover the majority of these increased costs. However, due to the timing of the price increases they will have negligible impact on our fourth quarter."

Reconciliation of Non-GAAP Financial Measures

This press release contains financial information determined by methods other than in accordance with U.S. Generally Accepted Accounting Principles, "GAAP". EnerSys' management uses the non-GAAP measure "adjusted Net earnings" in their analysis of the Company's performance. This measure, as used by EnerSys in past quarters and years, adjusts Net earnings determined in accordance with GAAP to reflect changes in financial results associated with the Company's restructuring initiatives and other highlighted charges and income items. Management believes the presentation of this financial measure reflecting these non-GAAP adjustments provides important supplemental information in evaluating the operating results of the Company as distinct from results that include items that are not indicative of ongoing operating results; in particular, those charges that the Company incurs as a result of restructuring activities and those charges and credits that are not directly related to operating unit performance, such as fees and expenses related to acquisition activities. Because these charges are not incurred as a result of ongoing operations or are incurred as a result of a potential acquisition, they are not a helpful measure of the performance of our underlying business particularly in light of their unpredictable nature.
