<< Back Announces Partial Redemption of 4.75% Convertible Subordinated Notes

SEATTLE--Jan. 27,, Inc. (Nasdaq:AMZN) today announced that on February 26, 2004, it will redeem $150 million in principal amount of its outstanding 4.75% Convertible Subordinated Notes due 2009. The CUSIP numbers for the Notes are 023135AD8 and 023135AF3.

The Notes will be redeemed at a redemption price of 102.375% of the principal amount at maturity, plus accrued and unpaid interest from February 1 through February 25, 2004. The Notes to be redeemed will be selected by lot in accordance with the procedures of The Depository Trust Company, the registered holder of the Notes. After completion of the redemption of $150 million in principal amount of the Notes, there will be approximately $900 million aggregate principal amount of Notes outstanding.

The right to convert the Notes to be redeemed into common stock of will expire on February 25, 2004. The current conversion price for the Notes is $78.0275.
