RICHMOND, Va., May 13 /PRNewswire-FirstCall/ -- Genworth Financial, Inc. (NYSE: GNW) announced the re-election of all nine directors at its 2009 annual meeting of stockholders today, including Michael D. Fraizer, chairman and chief executive officer.

Board members re-elected, in addition to Fraizer, included Frank J. Borelli, former Chief Financial Officer, Marsh & McLennan Companies, Inc.; Nancy J. Karch, former Senior Partner, McKinsey & Company; J. Robert "Bob" Kerrey, President, The New School University and former United States Senator; Risa J. Lavizzo-Mourey, President and Chief Executive Officer, Robert Wood Johnson Foundation,; James A. Parke, former Vice Chairman and Chief Financial Officer, GE Capital Services; James S. Reipe, former Vice Chairman, T. Rowe Price Group, Inc.; Barrett A. Toan, former Chairman and Chief Executive Officer, Express Scripts, Inc.; and Thomas B. Wheeler, former Chairman and Chief Executive Officer, MassMutual Financial Group.

Stockholders also approved an amendment to the 2004 Genworth Financial Inc., Omnibus Incentive Plan to permit a one-time, value-for-value equity exchange program and ratified the selection of KPMG LLP as the company's independent auditor for 2009.
