Board members re-elected, in addition to Fraizer, included Frank J.

Nancy J. Karch, former Senior Partner, McKinsey & Company; J. Robert "Bob"

Johnson Foundation,; James A. Parke, former Vice Chairman and Chief Financial

Price Group, Inc.; Barrett A. Toan, former Chairman and Chief Executive
Officer, Express Scripts, Inc.; and Thomas B. Wheeler, former Chairman and
Chief Executive Officer, MassMutual Financial Group.
Stockholders also approved an amendment to the 2004 Genworth Financial
Inc., Omnibus Incentive Plan to permit a one-time, value-for-value equity
exchange program and ratified the selection of KPMG LLP as the company's
independent auditor for 2009.
