What if I am unable to attend the AGM?

If you cannot attend the AGM, you can express your views by appointing a proxy to act on your behalf. This person will be able to attend the meeting, to speak and vote on your behalf. Your proxy can be the Chairman of the meeting, or any other person you choose. That person need not be a shareholder of Incitec Pivot. The Proxy Nomination Form is issued with the Notice of Annual General Meeting.

Can I still attend the Annual General Meeting and vote if my registered holding is in a company name?

If you have provided the appropriate documentation to Link Market Services appointing you to act on behalf of the relevant company, then you can attend the Annual General Meeting as the company's representative. If you have not provided the appropriate appointment documents, then contact Link Market Services and request them to send you an Appointment of a Corporate Representative form. Alternatively you can download the form here.

Managing My Shareholding

Am I a CHESS Sponsored Holder or an Issuer Sponsored Holder?

If you have entered a sponsoring agreement with a broker (or another CHESS sponsor) then you are a CHESS Sponsored Holder, also referred to as a Broker Sponsored Holder. If you have not entered such an agreement, then you are an Issuer Sponsored Holder.

CHESS Sponsored holdings are identified by a Holder Identification Number (HIN) while Issuer Sponsored holdings can be identified by a Securityholder Reference Number (SRN).

What are Holder Identification Numbers (HINs) and Securityholder Reference Numbers (SRNs)?

Your SRNs and/or HINs identify you as the owner of your shares and should be stored securely. Holder Identification Numbers (HINs) identify CHESS Sponsored holdings (also referred to as Broker Sponsored holdings). Some HINs start with the letter 'X' while others have no alphabetic prefix eg. X00054321, 00054321. Securityholder Reference Numbers (SRNs) identify Issuer Sponsored holdings and begin with the letter 'I' eg. I40083504206.

Where can I find my shareholder account number?

Your HIN or SRN appears on your original holding statement as well as subsequent statements and dividend payment advices.

How do I log on to my shareholding details?

You can login to your shareholding details via the Shareholder Services section of our Investor website or via the Link Market Services investor login. To view your shareholding, you will need the name of the shareholder, the HIN/SRN number and postcode (which must be the postcode recorded on your holding record).

Who do I advise and how do I update changes to my address?

Issuer Sponsored individual holders may change their address details either online at Investor Centre | Link Market Services or by using the Change of Address Form that may be obtained at the Link Market Services website or by contacting the Registrars (see contact details below). Issuer Sponsored Joint shareholders and corporations must complete and return the Change of Address Form to Link Market Services.

What do I do if I change my name?

How you change your name on your holding will depend upon your individual circumstances. If your holding is Issuer Sponsored, you can change your name by completing a Name Correction Request and Indemnity Formthat may be obtained either at the Link Market Services website www.linkmarketservices.com.au or by contacting the Registrars (see contact details at the top of this page). Please note that requests by facsimile, email or phone cannot be accepted.

If your holding is CHESS Sponsored, you must change your name via your broker.

What can I do via the online shareholder services?

Visit Link Market Services website, www.linkmarketservices.com.au, to access a wide variety of holding information, make changes to your details online or download forms, including:

You can access this information via a security login using your Securityholder Reference Number (SRN) or Holder Identification Number (HIN) as well as your surname (or company name) and postcode (which must be the postcode recorded on your holding record).

How do I check my shareholding balance?

You can view your shareholding balance via the Shareholder Services section of our Investor website or via the Link Market Services investor login. To view your shareholding, you will need the name of the shareholder, the HIN/SRN number and postcode (which must be the postcode recorded on your holding record).

How do I buy or sell Incitec Pivot shares?

Information about buying or selling Incitec Pivot shares can be obtained by contacting the Australian Securities Exchange (ASX) or via the link ASX online.

I have more than one Incitec Pivot shareholding – how can I consolidate them?

Can I transfer shares to someone else?

Yes. However, the way in which you transfer your shares will depend upon your individual circumstances.

If you are CHESS Sponsored, you will need to contact your sponsoring broker who will arrange the transfer on your behalf.

If you are Issuer Sponsored and wish to transfer your Incitec Pivot shares to another person, you will need to complete an Off-market Transfer Form and lodge it with Link Market Services.

How do I administer a deceased estate holding?

You will need to contact Incitec Pivot's share registry, Link Market Services, and they will guide you through what you need to do. You will be asked to provide the Securityholder Reference Number (SRN) or Holder Identification Number (HIN) of the deceased estate holding. Relevant forms regarding the administration of an estate holding can be found on the Link Market Services website under Estate Administration Service Guide.

Do I have to pay stamp duty on my share transfer?

Incitec Pivot Limited is registered in the State of Victoria and listed on ASX, currently no stamp duty is payable on share transfers.

Does Incitec Pivot have a share buy-back program?

Dividends and Dividend Reinvestment Plan

How does Incitec Pivot pay dividends?

Incitec Pivot pays dividends by direct debt into your nominated bank account. Dividends can also be reinvested through the Company's Dividend Reinvestment Plan (DRP).Shareholders can check and update their banking details via Link Market Services.

When are dividends paid?

When a dividend is declared, this will be announced in conjunction with the half year and/or full year financial results.

What is meant by 'cum-dividend', 'ex-dividend' and 'record date'?

What dividends have I been paid?

Details of dividends paid to you can be obtained by logging in to your shareholding details via the Link Market Services website. You will need your SRN or HIN to access your dividend details.

Where can I find dividend history details?

A table detailing dividend payments, franking percentages and dividend reinvestment plan issue prices can be found under Dividend History in the Investor Relations section of our website.

How do I arrange for my dividends to be paid directly into my bank account?

You will need to advise Link Market Services of details of the account into which you would like all future dividends to be paid. Individual shareholders can update their details either online at www.linkmarketservices.com.au or using the Direct Credit of Payments Form that may be obtained at the Link Market Services website or by contacting Link Market Services (see contact details at the top of this page). Joint shareholders and corporations must complete and return the form to the Link Market Services.

Can I have dividends paid into someone else's bank account?

Shareholders can arrange payment of their dividend into another person's account as long as they have correctly completed the notification of the banking details and provided it to the Link Market Services Registrar (including quotation of their SRN or HIN) and the registered shareholder has signed the notification of banking details form.

I did not receive a dividend cheque for the last dividend. What should I do?

If you have not received a dividend that you believe should have been paid, please contact Incitec Pivot's Share Registrar, Link Market Services (see contact details at the top of this page).

The quickest and safest way to receive your dividend is to have it paid directly into your bank account. A dividend statement will be sent to your registered address confirming payment into your account. However, unless you select to have dividends paid into your bank account you will receive a cheque by post.

Alternatively, where Incitec Pivot invites shareholders to participate, you may elect to have your dividend reinvested in new shares. Further details can be found in the Dividend Reinvestment Plan Rules booklet.

I have lost my dividend statement. What should I do?

If you require a replacement dividend statement, you need to inform Incitec Pivot's Share Registrar, Link Market Services (see contact details at the top of this page). Alternatively, visit the Link Market Services website,http://www.linkmarketservices.com.au/corporate/home.html, for instructions on how to obtain a replacement dividend statement.

I have found an out-of-date dividend cheque or lost my dividend cheque. What should I do?

Subject to the unclaimed monies requirements prescribed by the Victorian State Revenue Office, you should contact Link Market Services so that a replacement payment can be made.

To prevent this problem arising again, you may wish to arrange for dividends to be paid directly into your bank account. You can do this by supplying Incitec Pivot's Share Registrar, Link Market Services, with details of the account into which you would like all future dividends to be paid. Individual shareholders can update their details either online or using the Payment Instructions Form that may be obtained at the Link Market Services website or by contacting Link Market Services (see contact details at the top of this page). Joint shareholders and corporations must complete and return the form to Link Market Services.

What happens if my bank account details were incorrect at the time of the dividend payment?

Subject to the unclaimed monies requirements prescribed by the Victorian State revenue Office, you should contact Link Market Services so that a replacement payment can be made.

What is the procedure for unclaimed monies ?

Payments made more than two years ago may be advertised in the Victorian Government Gazette and if not claimed, will be forwarded to the ‘Unclaimed Moneys' division of the Victorian State Revenue Office. To obtain details of payments forwarded to Unclaimed Moneys, please call Link Market Services (see contact details at the top of this page), who will provide you with the appropriate contact details for Unclaimed Moneys.

Does Incitec Pivot have a Dividend Reinvestment Plan and where can I get details of participation?

Incitec Pivot invites participation in its Dividend Reinvestment Plan from time to time. Please view the Dividend Reinvestment Plan Rules booklet under Dividend Reinvestment Plan in the Incitec Pivot Investor Centre for an explanation of the Dividend Reinvestment Plan. If you have any queries regarding the potential impact of your participation, we recommend you contact your financial adviser prior to electing to participate.

What happens if I am an Australian resident and I don't provide my Tax File Number (TFN) or Australian Business Number (ABN)?

If you don't provide your TFN or ABN (or exemption type), we are required to deduct tax from any unfranked portion of your Incitec Pivot dividend at the highest marginal tax rate. Incitec Pivot cannot refund tax deducted. You have to claim this tax from the Australian Tax Office when completing your tax return.

Does Incitec Pivot send an end of year tax statement?

No. Incitec Pivot issues a dividend statement at the time of payment of a dividend.

I don't live in Australia. Do you tax my dividend?

No Australian withholding tax is deducted from dividends paid to non-residents to the extent that the dividend is fully franked or conduit foreign income. You will need advice from your local tax agent on how to declare any dividends in your tax return.

How can I obtain a copy of Incitec Pivot's Annual Report?

The Annual Report is available to view and download under Company Reports in the Investor Relations section on our website. A hard copy of the report can be obtained by contacting the Investor Relations office at Incitec Pivot or sending a request via the Contact Us function on our website. Copies of Incitec Pivot's current reports and those from the past five years can be viewed by visiting the Company Reports section of the Incitec Pivot website at www.incitecpivot.com.

How do I cancel duplication of information and correspondence sent to me?

If you have acquired shares on more than one occasion, your holding may have been recorded on the share register with slightly different details. As a result, two or more accounts may have been set up for you. Sometimes we need to maintain more than one account, for example, if you hold shares in your own name and also in joint names with another person. However, sometimes multiple accounts can be amalgamated.

What accounting convention does Incitec Pivot adhere to?

The consolidated financial statements are general purpose financial statements which have been prepared in accordance with Australian Accounting Standards (AASs) (including Australian Interpretations) adopted by the Australian Accounting Standards Board (AASB) and the Corporations Act 2001. The consolidated financial statements of the Group comply with International Financial Reporting Standards (IFRSs) and interpretations adopted by the International Accounting Standards Board (IASB). For the purpose of preparing the consolidated financial statements, the Company is a for-profit entity.

Does Incitec Pivot have an American Depository Receipt (ADR) program?

Incitec Pivot Limited has established a Level 1 American Depositary Receipts (ADR) program.
