The principal responsibility of WellPoint's Board of Directors is to further the long-term success of the Company, in line with the Board's fiduciary duty to the Company's shareholders. Our 7 member Board includes 6 independent directors and our audit, compensation and governance committees are composed entirely of independent directors. Each Board committee has a detailed charter and each committee member has appropriate skills to carry out the committee's functions.

WellPoint recognizes the importance of and places high priority upon having strong corporate governance measures in place. We take great care to ensure that our measures align with the requirements of the securities laws, including the Sarbanes-Oxley Act, and the rules and regulations promulgated by the Securities and Exchange Commission and the guidelines set forth by the New York Stock Exchange. In addition, our executive officers, associates and Board of Directors are governed by WellPoint's Standards of Ethical Business Conduct.
