| Fluor Corporation Announces Record Date for Massey Spin-off |

ALISO VIEJO, Calif., Nov. 21 /PRNewswire/ -- Fluor Corporation's (NYSE: FLR) board of directors Monday (Nov. 20, 2000) established Nov. 30, 2000 as the record date for the proposed spin-off distribution of "new" Fluor Corporation. The proposed spin-off will separate Fluor into two publicly traded companies:
As a result of the spin-off, shareholders of existing Fluor of record on the distribution record date will receive one share of "new" Fluor for each share of existing Fluor stock, and will retain their shares in existing Fluor (to be renamed Massey Energy Company). The "new" Fluor shares will be deliverable on Dec. 21, 2000. "New" Fluor will continue to trade on the New York Stock Exchange under the symbol "FLR" and Massey Energy Company will become a listed company on the New York Stock Exchange under the symbol "MEE."
