NOVA Information Systems Purchases Payment Processing Portfolio from Union Bank of California
10,000 Merchants to Be Converted to NOVA Network by Mid-Summer

ATLANTA & SAN DIEGO--(BUSINESS WIRE)--April 27, 2004--NOVA Information Systems (NOVA), and Union Bank of California, the primary subsidiary of UnionBanCal Corporation (NYSE:UB - News) today announced the signing of definitive agreements providing for the purchase of Union Bank's existing payment processing portfolio, and a long-term alliance marketing agreement for Union Bank's referral business. NOVA will acquire Union Bank's merchant accounts and will provide processing services, customer service and support operations to the bank's 10,000 merchants. New merchant services referrals will be marketed through the bank's 284 branches located in California, Oregon and Washington. The credit and debit card processing volume from this agreement is expected to reach $3 billion annually. The transaction is expected to close late in the second quarter 2004.
