We strive to ensure that the information regarding U.S. Bancorp and its operations and financial performance that is provided to our shareholders and the investment community is accurate and complete. This information must be clear, concise and understandable and in full compliance with the requirements of applicable securities laws and the rules of the New York Stock Exchange. To help us meet these goals, we have formed a Disclosure Committee to oversee our system of disclosure controls and procedures. Among other things, this committee evaluates the effectiveness of our disclosure controls and procedures and helps to assess the quality of the disclosures that we make in the periodic reports we file with the Securities and Exchange Commission. These disclosure controls and procedures are the controls and procedures that are designed to ensure that information required to be disclosed by U.S. Bancorp in its periodic reports filed with the SEC is recorded, processed, summarized and reported correctly and within the required time periods.
Membership
This Disclosure Committee is comprised of our Chief Accounting Officer & Controller (Chair), General Counsel, Chief Investor Relations Officer, Chief Credit Officer, Chief Risk Officer, Executive Vice President and Treasurer, Senior Vice President - Business Line Reporting and Planning, and the Executive Vice President - Human Resources for the Company. Non-voting working participants include the Director of External Reporting, Director of Accounting Policy, Director of Financial Reporting, Accounting & Analysis, Director of Sarbanes-Oxley Compliance & Basel II Reporting, Senior Vice President - Credit Administration, and the Associate General Counsel - Securities Law Compliance.
