The 2013 Annual Meeting of Stockholders of NVIDIA Corporation will be held on Wednesday, May 15, 2013 at 9:00 a.m., pacific daylight time, at Building E of NVIDIA’s headquarters located at 2800 Scott Boulevard, Santa Clara, California 95050. You are entitled to attend the 2013 Annual Meeting only if you were an NVIDIA stockholder or joint holder as of the close of business on March 22, 2013 or if you hold a valid proxy for the 2013 Annual Meeting. You must present photo identification for admittance. If you are a stockholder of record or hold your shares through the NVIDIA Sponsored Equity Award Accounts at Charles Schwab, your name will be verified against the list of stockholders of record or plan participants on the record date prior to your admission to the 2013 Annual Meeting. If you are not a stockholder of record but hold shares through a broker, trustee or nominee, you must provide proof of beneficial ownership on the record date, such as your most recent account statement prior to March 22, 2013 or other similar evidence of ownership. If you do not provide photo identification or comply with the other procedures outlined above, you will not be admitted to the 2013 Annual Meeting. The meeting will begin promptly at 9:00 a.m., pacific daylight time. Check-in will begin at 8:30 a.m., pacific daylight time, and you should allow ample time for the check-in procedures. In addition to the in-person meeting, NVIDIA will be hosting a Virtual Stockholder Meeting this year. If you would like to attend the Virtual Stockholder Meeting and you have your 12-digit control number, please go to www.virtualshareholdermeeting.com/NVIDIA2013 15 minutes prior to the start of the meeting to log in. Non-stockholders can also listen to the Virtual Stockholder Meeting live on this webpage. An archived copy of the webcast will be available at www.nvidia.com/proxy through May 31, 2013.

Stockholders who have not previously specified that they wish to receive electronic or paper delivery of our proxy materials will receive a Notice of Internet Availability, or Notice, in the mail. This Notice was mailed on or about April 2, 2013. The Notice contains the website address where you can access the proxy materials and instructions on how to view them, instructions on how to request paper or e-mail copies of the proxy materials if you prefer one of these delivery methods, and instructions on how to vote online or by telephone, or how to vote in person at the 2013 Annual Meeting.
