 If you are still in possession of an "Old" Tenneco stock certificate (CUSIP #880370101) dated prior to December 12, 1996, you will need to contact ComputerShare for instructions on how to exchange your common stock for common stock of El Paso Energy (NYSE: EPG).

7.Does Tenneco pay a dividend?
 On January 10, 2001, Tenneco's Board of Directors announced that the company would no longer pay a quarterly dividend on its common stock. This action was taken in response to industry conditions, primarily greater than anticipated production volume reductions by North American vehicle manufacturers, and a continued softness in the global automotive parts replacement market.

In 2000, the company paid a $.05 per share dividend for each of the four quarters for a total of $.20 per share annualy. The last dividend payment from Tenneco was issued in December 2000.
