We are selling 3,250,000 shares of our common stock, par value $0.01 per share.

We have granted the underwriters an option to purchase within 30 days from the date of this prospectus supplement up to 487,500 additional shares of our common stock from us.

Our common stock is listed on the New York Stock Exchange, or NYSE, under the symbol “SUI.” The last reported sale price of our common stock on the NYSE on May 28, 2019 was $125.73 per share.

To assist us in complying with certain federal income tax requirements applicable to real estate investment trusts, our charter contains certain restrictions relating to the ownership and transfer of our stock, including an ownership limit of 9.8%, in number of shares or value, of the issued and outstanding shares of our capital stock.
