Retired Executive Vice President, Chief Financial Officer and Secretary, Danaher Corporation

Patrick W. Allender, 65, served as executive vice president, chief financial officer and secretary of Danaher Corporation, a diversified manufacturing company, until his retirement in 2007. He was elected to Diebold's board of directors in 2011. Currently, he also serves as director of Colfax Corporation and Brady Corporation. Mr. Allender hold's a bachelor's of science degree from Loyola College in Maryland and was elected to the Board of Governors and Visitors of Washington College in 2009.
Biography PhotoRoberto Artavia
Chairman of the Board, Viva Trust

Roberto Artavia, 54, is Chairman of the board of Viva Trust, an organization that combines productive and philanthropic activities in a single strategy; of INCAE Business School, the top ranked, internationally accredited school of business in Latin America; as well as Chairman of Marviva Foundation, a not-for-profit organization dedicated to the protection of marine resources in the Americas and Mid-eastern Pacific regions. He also serves as chairman of Fundación Latinoamérica Posible, and Fundación Victoria. He is a current board member for the World Resources Institute, Washington, D.C., CINDE (Costa Rica’s Investment Attraction Agency), Foundation for Management Education in Central America, and COPA Airlines. Mr. Artavia was appointed to Diebold’s board of directors in April 2013. He obtained a bachelor of science in naval engineering from the United States Merchant Marine Academy, Kings Point in 1980. He went on to receive, with honors, a master’s of business administration, from INCAE Business School in 1982. Mr. Artavia later obtained a doctorate in business administration from Harvard University’s Graduate School of Business in 1992. Mr. Artavia has wide-spread international experience serving as a consultant and business advisor to numerous government and civil society organizations which span throughout 35 countries. He has published and presented internationally on topics of competiveness, sustainable development, institutional alliances, and corporate social responsibility for forums of business, government, and not- for-profit organizations, in more than 30 countries.
Biography PhotoBruce L. Byrnes
Retired Vice Chairman of the Board, Procter & Gamble, Inc.

Bruce L. Byrnes, 64, is the retired vice chairman of the board, Procter & Gamble, Inc., a consumer products company. During his 38-year career with Procter & Gamble, Byrnes served as vice chairman of the board and president for several global divisions, including Global Household Care and Global Beauty & Feminine Care and Global Health Care. He was elected to Diebold's board of directors in 2010. In addition, he serves as a director for Boston Scientific Corp. and Brown-Forman Corporation, and he previously served as a trustee of the Cincinnati Art Museum. Byrnes received his bachelor's degree in philosophy of religion from Princeton University.
Biography PhotoPhillip  R. Cox
President and Chief Executive Officer, Cox Financial Corporation
Director Since December 2005

Phillip R. Cox, 64, is president and CEO of Cox Financial Corporation, Cincinnati, a financial services firm he founded in 1971. He was elected to Diebold's board of directors in 2005. In addition, he serves as a director on a variety of boards, including Cincinnati Bell, The Timken Company, and Touchstone Investments.

Cox is a graduate of Xavier University and holds a doctorate of letters degree from the College of Mount St. Joseph and Cincinnati Technical College.

Biography PhotoRichard L. Crandall
Managing Partner, Aspen Partners LLC

Richard L. Crandall, 68, serves as managing partner of Aspen Partners, a private equity firm. He was elected to Diebold’s board of directors in 1996. In addition, he is a director of R.R. Donnelley & Sons Company and Platinum Energy Solutions.

Also, Crandall is chairman of the Enterprise Software Roundtable, Aspen, an organization which he founded in 1994 that consists of CEOs from the top 35 software firms.

Crandall received bachelor’s degrees in electrical engineering and mathematics and a master’s degree in industrial engineering from The University of Michigan.

Biography PhotoGale S. Fitzgerald
Retired President and Director, TranSpend, Inc.

Gale S. Fitzgerald, 61, is a founding partner of TranSpend, Inc., a privately-held firm focused on total spend optimization. She was elected to Diebold’s board of directors in 1999. Fitzgerald is also an independent director of Health Net, Inc., one of the nation’s largest managed health care companies, and Cross Country Healthcare, Inc.

Before founding TranSpend, Inc., Fitzgerald served as president and chief executive officer of QP Group, Inc. Prior to that, she was chair and chief executive officer of Computer Task Group, Inc. (CTG). Prior to joining CTG, she served as vice president, professional services at IBM.

Fitzgerald received a bachelor’s degree in government from Connecticut College, New London, Conn.

Biography PhotoRobert S. Prather Jr.
President and Chief Operating Officer, Gray Television, Inc.

Robert S. Prather, Jr., 68, serves as President, COO and board member for Gray Television, Inc. He was appointed to Diebold’s board of directors in April 2013. In addition, Mr. Prather serves as Chairman of the Board for Southern Community Newspapers, Inc. and is on the board of directors for GAMCO Investors, Inc. and Ryman Hospitality Properties, LP. Prior to joining Gray Television, Inc., Mr. Prather held several positions with both Phoenix Corporation, a privately owned metals service center (1980-1992) and with Fuqua Industries (1969-1980). Mr. Prather has been a member of the Young Presidents’ organization since 1980 as well as the World President’s organization. He is also very active in youth sports, Pop Warner football and Little League Baseball. Mr. Prather received both a Bachelor’s and Master’s degree from Georgia Tech in Atlanta, Georgia.
Biography PhotoRajesh K. Soin
Chairman of the Board and Chief Executive Officer, Soin International LLC

Rajesh K. Soin, 64, presently serves as Chairman of the Board and Chief Executive Officer of Soin International LLC, an IT and management consulting services firm, where he has served since 1998. From 2002 to 2008, he served as Chairman of the Board and Chief Executive Officer, MTC Technologies, Inc., a military defense systems company. Mr. Soin’s extensive experience in India, particularly with his wide-ranging engineering and software development background, provides beneficial technical expertise to the Board. In addition, his entrepreneurial experience and government contracting experience as founder and Chairman of MTC Technologies, a NASDAQ company before being acquired by BAE Systems, affords valuable perspective in growing the Company’s securities business. Mr. Soin holds a bachelor’s degree in mechanical engineering from the Delhi College of Engineering and a master’s of science degree in industrial engineering from Bradley University.
Biography PhotoHenry D.G. Wallace
Executive Chairman of the Board, Diebold, Incorporated

Henry D.G. Wallace, 67, was appointed executive chairman of the board for Diebold, Incorporated in January 2013. He was elected to Diebold’s board of directors in 2003. In addition, he serves as chairman of the board for Lear Corporation and director for Ambac Financial Group, Inc.

Prior to joining the Diebold board, Wallace was group vice president and chief financial officer of the Ford Motor Company, and he served as president and CEO of Mazda Motor Corporation. During his 30-year career at Ford, he also held numerous positions in finance and general management at Ford's operations in the UK, Germany, USA, Mexico, Venezuela and Japan.

Wallace received a bachelor’s degree in economics from the University of Leicester in England.

Biography PhotoAlan J. Weber
Chief Executive Officer, Weber Group LLC

Alan J. Weber, 63, is the CEO of Weber Group LLC, an investment advisory firm. He is also operating partner of Arsenal Capital Partners, LLC, a private equity firm. He was elected to Diebold’s board of directors in 2005.

Weber retired as chairman and chief executive officer of U.S. Trust Corporation and as a member of the executive committee of the Charles Schwab Corporation. In addition, he serves as a director of Broadridge Financial Solutions, Inc.

Prior to joining U.S. Trust in 2002, Weber was vice chairman and chief financial officer at Aetna, Inc., where he was responsible for capital management, information technology, investor relations, e-business and financial operations. He also held a number of senior level positions at Citibank NA, where he worked from 1971 to 1998, including chairman of Citibank International and executive vice president of Citibank. During his tenure at Citibank, Weber oversaw operations in approximately 30 countries, including assignments in Japan, Italy and Latin America.

Weber received a bachelor’s degree in economics from the Wharton School at the University of Pennsylvania, and a master’s in business administration from the Kellogg School, at Northwestern University.
